Terms of Service

1. Parties, Entity & Definitions

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Customer", "Tenant", or "Partner") and Citycar Rental Dubai LLC, a Limited Liability Company registered in Dubai, United Arab Emirates under Trade License No. 1023095, issued by the Department of Economy and Tourism, Dubai ("Company", "we", "us", "our").

The Company operates the following platforms and services:

• CityCar — a consumer-facing car rental marketplace accessible at citycar.ae and via the CityCar mobile application (iOS App ID: 6761516499; Android)
• RentOS — a Software-as-a-Service (SaaS) platform for UAE car rental operators, accessible at rentos.ae
• DealerOS — a Software-as-a-Service (SaaS) platform for UAE used car dealers, accessible at dealeros.ae
• Aria — an AI-powered support agent embedded within RentOS and DealerOS, powered by the Anthropic API

All intellectual property, proprietary rights, platform rights, and ownership for CityCar Rental Dubai, RentOS, DealerOS, and all associated domains (citycar.ae, rentos.ae, dealeros.ae) belong exclusively to Hamid Arbatsofla across all GCC countries. Unauthorised reproduction, distribution, or use of any part of these platforms is strictly prohibited.

1.1 Definitions

• "Platform" means any or all of CityCar, RentOS, DealerOS, and associated applications, APIs, and services
• "User" means any person or entity accessing or using the Platform
• "Tenant" means a business entity subscribing to RentOS or DealerOS under a Subscription Agreement
• "Partner" means an individual or entity enrolled in the RentOS Channel Partner Program
• "Customer" means a consumer using CityCar to browse, book, or rent vehicles
• "Content" means all data, text, images, videos, and materials submitted to or generated by the Platform
• "GCC" means the Gulf Cooperation Council countries: UAE, Saudi Arabia, Qatar, Kuwait, Bahrain, and Oman

2. Acceptance of Terms

By accessing or using any of our Platforms, you confirm that you:

• Are at least 18 years of age and legally capable of entering into binding contracts under UAE law
• Have read, understood, and agree to be bound by these Terms in their entirety
• If acting on behalf of a company or organization, have the authority to bind that entity to these Terms

If you do not agree to these Terms, you must immediately cease using the Platform. Continued use of the Platform constitutes acceptance of any updated Terms.

3. Platform Services

3.1 CityCar — Consumer Car Rental Marketplace

CityCar connects customers with verified car rental operators across the UAE. The Company acts as a marketplace facilitator and is not itself a car rental operator unless explicitly stated.

• Vehicle listings are provided by independent operators and are subject to availability
• Bookings are confirmed subject to operator acceptance and vehicle availability
• Pricing displayed is inclusive of applicable UAE VAT (5%) unless otherwise stated
• The Company reserves the right to remove listings that do not meet platform standards
• Customers are responsible for ensuring they hold a valid driving licence recognized in the UAE

3.2 RentOS — Car Rental Operator SaaS

RentOS provides a subscription-based software platform for car rental businesses operating in the UAE and GCC. Current pricing tiers are as follows:

3.3 DealerOS — Used Car Dealer SaaS

DealerOS provides a subscription-based software platform for used car dealers in the UAE and GCC. Current pricing tiers: Starter AED 899/mo | Growth AED 1,399/mo | Professional AED 2,699/mo | Enterprise AED 4,999/mo.

3.4 AI-Powered Features

The Platform includes artificial intelligence features including Aria (AI support agent), AI pricing engine, automated financial reporting, and AI fleet management recommendations. These features are provided for assistance purposes only and do not constitute professional financial, legal, or operational advice. The Company is not liable for decisions made based on AI-generated outputs.

4. User Obligations & Prohibited Conduct

By using the Platform, you agree not to:

• Provide false, inaccurate, or misleading information
• Use the Platform for any unlawful purpose or in violation of UAE federal law or Dubai local law
• Attempt to gain unauthorized access to any part of the Platform or its underlying systems
• Reverse engineer, decompile, or disassemble any part of the Platform
• Use automated tools, bots, or scrapers to access or extract data from the Platform
• Impersonate any person or entity or falsely claim affiliation with any organization
• Upload or transmit any malicious code, viruses, or harmful content
• Violate any third-party intellectual property rights
• Use the Platform to harass, abuse, or harm any person
• Circumvent any security or access control measures

5. Intellectual Property & Ownership

All intellectual property rights in and to the Platform, including but not limited to software, source code, databases, design elements, logos, brand assets, domain names, and all associated content, are the exclusive property of Hamid Arbatsofla and/or Citycar Rental Dubai LLC.

This includes without limitation:

• The CityCar brand, logo, and marketplace platform
• The RentOS brand, logo, and SaaS platform
• The DealerOS brand, logo, and SaaS platform
• All domain names: citycar.ae, rentos.ae, dealeros.ae, and all subdomains
• All mobile applications associated with the above platforms
• All AI models, prompts, and configurations developed for platform use
• All documentation, manuals, and training materials

These rights apply across all GCC countries. No license, right, or interest in any intellectual property is granted to any User, Tenant, Partner, or third party except as expressly stated in a written agreement signed by Hamid Arbatsofla or an authorized representative.

Any unauthorized reproduction, distribution, modification, or use of the Company's intellectual property is strictly prohibited and will be pursued under applicable UAE and GCC law, including Federal Decree-Law No. 38 of 2021 on Intellectual Property Rights.

6. Data Protection & Privacy

The Company is committed to protecting your personal data in compliance with:

• UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (UAE PDPL)
• UAE Cabinet Resolution No. 33 of 2024 implementing the PDPL
• Dubai International Financial Centre (DIFC) Data Protection Law 2020 (where applicable)
• Any applicable GCC data protection regulations in countries where the Platform operates

By using the Platform, you consent to the collection, processing, storage, and use of your personal data as described in our Privacy Policy.

6.1 Data You Provide

• Account registration information (name, email, phone, Emirates ID/passport details)
• Payment information (processed via Stripe — not stored on Company servers)
• Vehicle and fleet data (for RentOS/DealerOS tenants)
• Communication records and support interactions

6.2 Your Rights Under UAE PDPL

• Right to access your personal data
• Right to correct inaccurate data
• Right to request erasure of data
• Right to object to processing
• Right to data portability

7. Payments, Subscriptions & Refunds

7.1 Payment Terms

• All prices are in UAE Dirhams (AED) and inclusive of 5% VAT as required by UAE VAT Law (Federal Decree-Law No. 8 of 2017)
• Payments are processed via Stripe or other approved payment gateways
• Subscription fees are billed monthly or annually in advance
• Setup fees are non-refundable one-time charges payable upon account activation

7.2 Subscription Cancellation

• Tenants may cancel subscriptions with 30 days written notice to info@citycar.ae
• No refunds are provided for partial subscription periods
• Upon cancellation, the Tenant's data remains accessible for 30 days before permanent deletion
• The Company reserves the right to suspend or terminate accounts for non-payment after 7 days notice

7.3 Price Changes

The Company reserves the right to modify pricing with 30 days advance notice to existing Tenants. Continued use of the Platform after the notice period constitutes acceptance of the new pricing.

8. Confidentiality

"Confidential Information" means any non-public information disclosed by either party in connection with the Platform, including but not limited to: business data, pricing, customer lists, technical specifications, financial information, and proprietary methodologies.

• Each party agrees to hold Confidential Information in strict confidence
• Confidential Information may not be disclosed to third parties without prior written consent
• Confidential Information may only be used for the purpose of using or providing the Platform
• These obligations survive termination of any agreement for a period of five (5) years
• Exceptions apply to information that is publicly available, independently developed, or required to be disclosed by law

Tenants and Partners acknowledge that the Platform's architecture, AI configurations, pricing algorithms, and business processes constitute trade secrets of the Company protected under UAE Federal Law No. 31 of 2006 on Industrial Regulation and Protection of Patents, Industrial Drawings and Designs, and related legislation.

9. Limitation of Liability & Disclaimers

To the maximum extent permitted by applicable UAE law:

• The Platform is provided "as is" without warranties of any kind, express or implied
• The Company does not warrant that the Platform will be uninterrupted, error-free, or free from viruses
• The Company is not liable for any indirect, incidental, special, consequential, or punitive damages
• The Company's total liability to any User shall not exceed the amount paid by that User in the 12 months preceding the claim
• The Company is not liable for the actions of independent car rental operators listed on CityCar
• The Company is not liable for decisions made based on AI-generated outputs from Aria or the AI pricing engine

Nothing in these Terms limits liability for: death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded under UAE law.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates, specifically the laws of the Emirate of Dubai.

10.1 Dispute Resolution Process

1. Parties will attempt to resolve any dispute through good faith negotiation for 30 days
2. If unresolved, disputes will be referred to mediation under the Dubai International Arbitration Centre (DIAC) rules
3. If mediation fails, disputes will be finally resolved by arbitration under DIAC rules, with the seat of arbitration in Dubai
4. The language of arbitration shall be English
5. The arbitral award shall be final and binding on both parties

Notwithstanding the above, the Company reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

11. Channel Partner Program Terms

These additional terms apply to individuals and entities enrolled in the RentOS Channel Partner Program.

11.1 Commission Structure

• Solo tier (0–4 active clients): 20% first payment commission + 10% monthly recurring for 12 months
• Team Lead tier (5–9 active clients): 22% first payment + 12% monthly recurring + AED 500 milestone bonus
• Agency tier (10+ active clients): 25% first payment + 15% monthly recurring + AED 2,000 milestone bonus
• Setup fee commission: 20% standard (50% promotional rate for first 20 partners within 90 days of program launch)
• Launch bonus: up to AED 1,000 per client on first 10 clients closed within 90 days

11.2 Partner Obligations

• Partners must complete the RentOS certification (30 questions, minimum 80% pass mark, within 5 days, maximum 3 attempts)
• Partners must pay a one-time non-refundable setup fee of AED 1,399
• Partners must not make false or misleading representations about the Platform
• Partners are independent contractors and not employees of the Company
• Partners must comply with all applicable UAE consumer protection laws

11.3 Non-Compete & Non-Solicitation

For a period of five (5) years from the date of Partner Agreement execution, Partners agree not to:

• Develop, market, sell, or promote any competing car rental SaaS platform in the UAE or GCC
• Solicit or recruit Company employees, contractors, or other Partners
• Use Company Confidential Information to benefit any competing business

11.4 Payout Terms

• Minimum payout threshold: AED 500
• Payout methods: UAE bank transfer, USDT TRC20, USDT ERC20, or store credit
• Commissions are calculated monthly and paid within 15 business days of month end
• The Company reserves the right to withhold commissions pending dispute resolution

12. Termination

The Company may terminate or suspend your access to the Platform immediately, without notice or liability, if you:

• Breach any provision of these Terms
• Engage in fraudulent, abusive, or illegal activity
• Fail to pay subscription fees when due
• Provide false information during registration

Upon termination: your right to use the Platform ceases immediately; the Company may delete your data in accordance with the Privacy Policy; accrued payment obligations survive termination; provisions relating to intellectual property, confidentiality, limitation of liability, and governing law survive termination indefinitely.

13. Changes to These Terms

The Company reserves the right to modify these Terms at any time. Changes will be notified via:

• Email notification to registered Users
• In-platform notification
• Publication on the relevant platform website

Continued use of the Platform after 30 days of notification constitutes acceptance of the updated Terms.
